Legal assistance. Services to commercial entities and commercial litigation (arbitrage) (corporate law).

Law firm "BONUS" offers a full spectrum of services to assist the commercial activity of the commercial entity, beginning with its registration, legal assistance during all the current activities, representation of the entity before the Arbitrage courts (commercial litigation) and finishing with the dissolution of the entity, rendering such services either in a single consultation or by means of a permanent working engagement (customer service).

Legal assistance for commercial entities:

• Review of incorporation documents, contractual bases, inside labor documentation to be in accordance with the legal dispositions currently in force, preparation of said documents and their correction.
• Review of sufficiency and consulting for authorization documentation obtainment and different types of permits, issued by different governmental agencies in accordance with the activities of the entity.
• Drafting of agreements, including international agreements.
• Analysis of forthcoming deals and proposal of the most convenient conditions. Litigation procedures regarding the execution, amendment and termination of agreements.
• Representation of the entity's interests before the arbitrage courts (commercial litigation) and courts of common jurisdiction of all the instances (drafting of lawsuits, answers to lawsuits, preparation of lawsuit documents, participation in legal hearings, appeal and cassation procedures, preparation and maintenance of supervising complaints).
• Representation of the entity's interests before different governmental agencies (public prosecutor's office, taxpaying inspection, customs authorities, etc.), executive procedures.

Customer legal service to commercial entities.

The customer legal service rendered to commercial entities includes the following:

• Review of the inside documentation of the Customer to be in accordance with the legal provisions of the Russian Federation, currently in force, approval of said documents, if required, assistance in preparation and correct formulation of the documents.
• Drafting and due diligence of the Agreements, to be executed by the Costumer.
• Registration, reorganization, dissolution of the organizational form of the Customer, amendments to the incorporation documents. Obtainment of licenses.
• Legal assistance of real estate and land deals. Assistance during the selling deals and search of real estate objects.
• Verbal consulting of the Customer on the location of the Contractor, as well as by means of telephone conversations and rendering of written consultations.
• Drafting of claims, complaints, reclamations and answers to them, lawsuits and answers, other legal documents addressed to the governmental agencies of the executive, legislative and judicial branches.
• Participation in business negotiations and pre-court settlement of issues originated during the performance by the Customer of its common commercial activity.
• Rendering of information and legal comments, by request of the Customer, regarding the amendments, additions to the current legal provisions of the Russian Federation, normative acts of the governmental departments of the Russian Federation and Saint-Petersburg and granting of the corresponding texts.
• Representation of interests of the Customer before the courts, arbitrage courts (commercial litigation) of all the instances and different governmental agencies.

Legal monitoring of the business security

The common practice of the corporate conflicts shows that it is much easier to prevent a takeover (hostile takeover or raiding) with a series of preventive measures, which may be commonly called as legal monitoring of the business security.

The above mentioned monitoring can be performed as follows:

1. Determination of the possibilities of a raid/takeover by means of an analysis of the incorporation documents, the agreements executed by the company and other documents of the entity and elaboration of the corresponding recommendations to eliminate the possible deficiencies.
2. Verification of the information security of the company and prevention of the inside information leak with the elaboration of recommendations regarding the personnel policies and inside paperwork of the company.
3. Legal assistance during the current activities of the company, verification of the deal's security.

A timely adoption of said preventive measures can be of a considerable importance. According to the estimations of the specialists, the costs of the services rendered to return a raided entity, exceed 100-200 times the costs of the legal monitoring of the business security. Also, in most of the cases the return of the raided entity to the lawful owner after the takeover is nearly impossible.

This way, the legal monitoring of the business security is considered a necessary condition for the normal performance of the company and allows with low costs prevent bigger problems.
